Job Description

Job Purpose

  • Provide legal guidance and support for private and public fund-raising initiatives, including debt and equity transactions.
  • Oversee mergers, acquisitions, divestments, and related legal matters.
  • Facilitate deal execution by ensuring regulatory compliance and efficient transaction management.

Key Accountabilities & Performance Indicators

Legal Guidance & Advisory

  • Provide legal oversight on:
  • Equity capital market transactions (IPO, QIP, Rights Issue, OFS).
  • Mergers & Acquisitions.
  • Private Equity investments.
  • Divestments by GMR Group.
  • Exhibit sound negotiation skills, advising business teams on transaction-related legal issues.
  • Liaise efficiently with stakeholders and legal counsels for transaction completion.
  • Ensure efficient transaction management to meet project timelines.
  • Review and negotiate general commercial contracts.
  • Conduct due diligence, research assignments, and deal structuring.
  • Provide ad hoc legal advisory support as needed.

  • Transaction turnaround time

External Interactions

  • Negotiation with transaction stakeholders, ensuring legal soundness of deals.
  • Coordination with external legal counsels on fundraising transactions.
  • Liaising with regulatory bodies for compliance matters.

Internal Interactions

  • Engage with Finance Team, MD&A, and various cross-functional teams for special projects.
  • Work with Sector Legal Teams to track litigation updates across the group.
  • Provide legal insights for corporate review meetings (GCM/BCM).

Financial Dimensions

  • Maintain turnaround time for document finalization.
  • Contribute to the Corporate Legal team's AOP goals, ensuring optimized legal expenditures.

Other Dimensions

  • Interact with multiple departments and provide cross-functional legal insights.
  • Manage one direct report (AM level).

Educational Qualifications

  • Bachelor of Law (LLB).
  • Graduation in Arts / Commerce (preferred but not mandatory).

Relevant Experience

  • 7-10 years of post-qualification experience in a law firm or as an in-house counsel.
  • Expertise in equity transactions, mergers, acquisitions, divestments, and demergers.
  • Strong knowledge of Companies Act, SEBI regulations, FEMA, and RBI circulars.
  • Proficient in presentation, negotiation, and communication skills.
